Affiliate Program Agreement
This Affiliate Program Agreement ("Agreement") is entered into between you ("Affiliate", "you", or "your") and Brilliant Perspectives, LLC ("Company", "we", "us", or "our"). By enrolling in the Brilliant Movement Affiliate Program, you agree to be bound by the terms and conditions set forth in this Agreement.
Please read this Agreement carefully before enrolling in our Affiliate Program. If you do not agree to these terms, do not enroll as an Affiliate.
1. Enrollment and Acceptance
To enroll in the Affiliate Program, you must complete the enrollment process and be accepted by us. We reserve the right to accept or reject any application in our sole discretion. Upon acceptance, you will receive a unique affiliate link and access to affiliate resources.
By enrolling, you represent and warrant that:
- You are at least 18 years of age
- You have the legal capacity to enter into this Agreement
- All information you provide in your application is accurate and complete
- You will comply with all applicable laws, rules, and regulations
2. Program Description
The Brilliant Movement Affiliate Program allows you to earn commissions by promoting our products and services. When someone makes a qualifying purchase through your unique affiliate link, you may earn a commission as described in our current commission structure.
Commission rates and structures are subject to change. Current rates and details are provided in your affiliate dashboard and supplemental program materials.
3. Affiliate Responsibilities
As an Affiliate, you agree to:
- Promote our products and services in an ethical, truthful, and professional manner
- Not make any false, misleading, or deceptive claims about our products or services
- Comply with all applicable laws, including FTC guidelines regarding endorsements and disclosures
- Clearly disclose your affiliate relationship when promoting our products
- Not engage in spam, unsolicited emails, or other intrusive marketing practices
- Not bid on our trademarks or branded terms in paid search advertising without prior written approval
- Not use any "cookie stuffing" or other deceptive practices
- Maintain accurate and current contact and payment information
4. Prohibited Activities
The following activities are strictly prohibited:
- Making income claims or guarantees (see Income Disclosure Statement)
- Using deceptive practices, including false scarcity or urgency
- Impersonating the Company or its representatives
- Sending unsolicited commercial emails (spam) or text messages
- Using our trademarks in domain names or social media handles without approval
- Posting affiliate links in inappropriate places (e.g., forums where prohibited)
- Creating fake reviews or testimonials
- Any illegal or unethical marketing practices
5. Commission and Payment
5.1 Commission Structure
Commission rates, structures, and qualifying criteria are detailed in your affiliate dashboard and supplemental program materials. We reserve the right to modify commission structures at any time with notice to affiliates.
5.2 Payment Terms
Commissions are paid according to the schedule outlined in your affiliate dashboard. Minimum payout thresholds may apply. You are responsible for providing accurate payment information and for any taxes owed on your affiliate earnings.
5.3 Chargebacks and Refunds
If a customer requests a refund or initiates a chargeback for a purchase you referred, the corresponding commission may be deducted from your account or future earnings.
6. Intellectual Property
We grant you a limited, non-exclusive, non-transferable license to use our approved marketing materials, logos, and trademarks solely for the purpose of promoting our products and services as an Affiliate. This license terminates upon termination of your participation in the Affiliate Program.
You may not modify our materials or use our intellectual property in any way that is misleading, defamatory, or damaging to our reputation.
7. FTC Disclosure Requirements
Federal Trade Commission (FTC) guidelines require that you clearly disclose your affiliate relationship when promoting our products.
Your disclosures must be clear, conspicuous, and placed near your affiliate links. Examples of proper disclosure include:
- "I earn a commission if you purchase through my links."
- "This post contains affiliate links. See my disclosure for details."
- "#ad" or "#affiliate" on social media posts
8. Termination
Either party may terminate this Agreement at any time for any reason with written notice. We may terminate immediately without notice if you breach this Agreement or engage in prohibited activities.
Upon termination:
- You must immediately stop promoting our products as an Affiliate
- You must remove all affiliate links and marketing materials
- Any unpaid commissions that have met the minimum threshold will be paid according to normal payment schedules
- We may withhold any commissions associated with fraudulent or unethical activities
9. Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your participation in the Affiliate Program. Our total liability shall not exceed the amount of commissions actually paid to you in the twelve months preceding any claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including attorney's fees) arising from your breach of this Agreement, your marketing activities, or your violation of any law or rights of a third party.
11. Modifications
We reserve the right to modify this Agreement at any time. Changes will be posted on this page and/or communicated via email. Your continued participation in the Affiliate Program after such changes constitutes acceptance of the modified Agreement.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts located in Santa Barbara County, California.
